Distance Sales Agreement

This Distance Sales Agreement (the "Agreement") is concluded electronically between the Seller named below and the natural or legal person who holds an account on the OrqLabs Platform and buys a paid plan (the "Buyer"), in accordance with Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts (Mesafeli Sözleşmeler Yönetmeliği).

Buyer: the account holder who places the order. The Buyer's name or company name, address, phone number, billing e-mail and, where applicable, tax office and tax or national ID number are the billing details entered at checkout. They are stored with the order and used on the invoice; the Buyer is responsible for keeping them accurate.

If the Buyer purchases on behalf of a business, they confirm that they are authorised to bind that business to this Agreement. Where the Buyer is not a consumer, rights that the law grants only to consumers do not apply.

The subject of this Agreement is the electronic provision, in monthly periods, of the OrqLabs subscription plan the Buyer selects at checkout (the "Service") and the payment of its price.

This Agreement applies together with the Pre-Information Form, the Cancellation and Refund Policy, the Terms of Service and the Privacy Policy. On purchases, payments, cancellations and refunds this Agreement prevails.

OrqLabs is an online software service (SaaS) that lets you build workflows without code and run marketing work with AI agents: content creation, social media publishing, automatic replies on messaging channels, lead research, and market and SEO analysis.

• The Service is used in the panel at app.orqlabs.com with an up-to-date web browser and an internet connection. No software has to be installed and nothing is shipped.
• The scope and monthly limits of each plan (workflows, runs, agent runs, monthly model budget, projects, members, integrations, etc.) are those published on the pricing page at the time of purchase.
• The monthly model budget is a usage cap: AI usage is metered at the model providers' list prices. When it is reached, new runs do not start; the Buyer is never charged extra.
• Model usage with your own API key (BYOK) and the fees of third-party services you connect (e.g. e-mail, SMS, search or data providers) are not included in the price; those providers bill you directly.

Prices are in Turkish lira (TRY). Business plans (Starter, Pro, Agency) are quoted excluding VAT and 20% VAT (KDV) is added; creator plans (Creator, Creator Pro) include VAT. At checkout the net amount, the VAT and the total charged to your card are shown separately.

The table shows the list prices on the date this text was last updated. The exact amount of your order is shown at checkout and recorded in the copy of this Agreement stored with the order. Price changes apply only to later periods and are announced at least 30 days in advance.

There are no delivery or installation costs. The price and terms of the Enterprise plan are set in a separate written contract.

The price is paid in advance by credit or debit card through the licensed payment institution PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş. ("PayTR").

• Card details are entered only on PayTR's secure payment page and go directly to PayTR. OrqLabs never sees or stores your card number, expiry date or security code (CVV).
• Your card is not saved, neither by OrqLabs nor for automatic charges; every period is paid separately on PayTR's secure payment page.
• Your bank may ask for additional verification (3D Secure). If the bank or the payment institution declines the payment, the order is not completed and the plan is not activated.

The Service is performed electronically. As soon as PayTR confirms the payment, the selected plan is activated in your organization immediately and the first monthly period starts. Your plan and the period end date are shown in the panel under Settings → Billing.

As a rule, consumers may withdraw from a distance contract within 14 days. However, under Article 15(1)(ğ) and (h) of the Regulation on Distance Contracts, the right of withdrawal does not apply to services performed instantly in electronic form. The OrqLabs subscription is performed electronically from the moment the payment is confirmed.

This does not affect your right to cancel the subscription at any time or to a refund in the cases listed under Refunds below.

• The subscription runs in monthly periods and renews for another month at the end of each period unless cancelled. There are no yearly or minimum-term plans.
• Renewal by payment link: reminder e-mails with a payment link are sent to your billing e-mail starting 5 days before the period ends. The subscription renews when you pay through that link.
• Unpaid renewal: if the renewal cannot be charged or is not paid, your plan stays active for 7 more days after the period ends. If no payment is made in that time, the account moves to the Free plan. Your data is not deleted; the Free plan limits apply and you can return to a paid plan at any time.

• You can cancel the subscription at any time in the panel under Settings → Billing. Cancellation takes effect at the end of the paid period: you keep using your plan until then, the next period is not charged and the account moves to the Free plan when the period ends.
• Unused days of a paid period and partial use are not refunded.
• Upgrade: when you move to a higher plan, the new plan is activated immediately and the full difference between the two plans' monthly prices is charged at once (not prorated for the days left); the period end date does not change. The amount is shown at checkout.
• Downgrade: a move to a lower plan takes effect at the end of the paid period; your current plan continues until then.
• The Seller may suspend the account or terminate this Agreement as described in the Terms of Service in case of a material breach of the Terms, unlawful use or a threat to the security of the Platform.

In the following cases the amount you paid is refunded to the card used for the payment:

• a duplicate charge for the same period,
• a charge of an incorrect amount or without your instruction because of a system error,
• a paid plan that cannot be activated, or a Service that becomes unavailable, for reasons attributable to us; in that case the amount for the period the Service could not be used is refunded.

Send your refund request with the payment date and amount to hello@orqlabs.com. If the request is justified, the refund is initiated to the same card through PayTR within 14 days at the latest. How long it takes to appear on your card statement depends on your bank. Details are in the Cancellation and Refund Policy.

An e-Arşiv invoice (an e-Fatura if the Buyer is registered for e-invoicing) is issued for every charge and sent to the billing e-mail entered at checkout within 7 days of the payment at the latest. It is issued according to the billing details entered at checkout.

At checkout the Buyer confirms electronically that they have read and accept the Pre-Information Form and this Agreement. The Agreement is formed with this confirmation and the completion of the payment.

The electronically accepted text is stored with the order together with the date of acceptance, the plan, the amount and the text version, and is sent to you on request from hello@orqlabs.com. Version of this text: 2026-10-13.

Consumers may apply to the Consumer Arbitration Committees (Tüketici Hakem Heyetleri) at their place of residence or where the transaction took place, within the monetary limits announced each year by the Turkish Ministry of Trade, and to the Consumer Courts (Tüketici Mahkemeleri) for disputes above those limits.

Where the Buyer is not a consumer (purchases made as a merchant or business), Turkish law applies and the courts and enforcement offices of Bursa have jurisdiction.
